Subject:- Whether periodicity of resolution to be passed in terms of clauses (d) and (e) of sub ‑ section (1) depends on circumstances of each case Query : Each company should pass an ordinary resolution with regard to borrowing power and power to contribute for charitable purposes as laid down under section 293(1) and also pass other resolutions as may be found essential from time to time whether or not such ordinary resolutions should be passed once or be renewed from time to time in each year? Answer : Subject to the provisions contained in the memorandum and articles of association of the company and to compliance with the provisions of Explanations I, II and III to section 293(1), the periodicity of the resolutions to be passed in terms of clauses (d) and (e) of section 293(1) would depend on the terms of the respective resolutions and the circumstances of each case.
