India Amends Companies Rules: Foreign Directors Can Now Authorize Professionals to File Resignation Form DIR-11.

The Government of India, through the Ministry of Corporate Affairs, issued a notification amending the Companies (Appointment and Qualification of Directors) Rules, 2014. Effective from its publication date, the amendment introduces a proviso to Rule 16. It allows a foreign director who has resigned and whose company has filed Form DIR-12 to authorize a practicing chartered accountant, cost accountant, company secretary, or another resident director to sign and file Form DIR-11 on their behalf, stating the reasons for the resignation.
