Every Company incorporated on or before the 31st December 2017 shall file the particulars of the Company and its registered office, in e-Form ACTIVE (Active Company Tagging Identities and Verification) on or before 25.04.2019.

This e form shall be restricted from filing with the Registrar if Company has not filed its

  1. financial statements under section 137
  2. annual returns under section 92
  3. auditor appointment under section 139
  4. appointment of Company Secretary Company under section 203
  5. appointment of Cost auditor under section 148
  6. appointment of managing director, or Chief Executive Officer or manager and in their absence, a whole-time director in case company is listed company or public company having a paid-up share capital of ten crore rupees or more.
  7. appointment of CFO in case company is listed company or public company having a paid-up share capital of ten crore rupees or more.

Filing fee

  • Zero- filing fee on or before 25th April 2019
  • ₹ 10,000 – filing fee on or after 26th April 2019

Companies shall not be required to file this E-Form, if

  • The company is under management dispute and the Registrar of Companies has recorded the same.
  • The company has been struck off or under the process of striking off.
  • Under liquidation or amalgamation or dissolved as recorded in the Registrar.

If Company fails to intimate the said particulars on or before 25th April 2019 with Registrar, the Company shall be marked as “ACTIVE –NON COMPLIANT” and also liable for action under section 12(9) of the Companies Act, 2013.

If the Company fails to intimate the said particulars on or before 25th April 2019, e-forms for the following mentioned particulars shall not be registered with the Ministry.

  1. Change in Authorized Capital
  2. Allotment of securities
  3. Change in Directors (except cessation)
  4. Change in Registered office
  5. Intimation of amalgamation and de-merger

Documents/information’s required:

  1. Photograph of Registered Office showing external building and inside office also showing therein at least one director/ KMP who has affixed his/her Digital Signature to this form.
  2. Email id of the Company (OTP will be sent to this mail id).

The form should be digitally signed by one director and one KMP or two directors in case of other than OPC.
